Goldgroup’s US$75 Million Funding Boost Signals Bigger Mining Ambitions

Strong investor backing could help the mining company expand exploration, advance key gold projects, and strengthen its position in the precious metals market

Vancouver, British Columbia, 9 September 2026 – Goldgroup Mining Inc. is planning a major financial boost as it announces a proposed US$75 million private placement, with approximately US$60 million already committed by leading natural resource investors. The funding could provide the company with greater financial strength to expand exploration, develop its mining assets and pursue new opportunities across North America.

The proposed financing is structured as a non-brokered private placement. Goldgroup plans to issue up to 20,547,945 units at US$3.65 per unit. Each unit is expected to include one common share and one half of a share purchase warrant. A full warrant would allow investors to purchase an additional Goldgroup share at US$5.10 for 18 months after the financing closes.

The company said commitments already represent about 80 percent of the planned financing. Investors participating in the transaction include groups associated with major figures and organizations in the natural resources sector, including Trafigura, Eric Sprott, Rick Rule and other institutional investors.

If the financing reaches the full US$75 million target, Goldgroup expects to use the proceeds across several areas of its business. Exploration and resource expansion will be a major priority, with the company looking to increase the potential of its existing mineral assets.

One of the key projects receiving attention is the San Francisco Gold Project in Sonora, Mexico. Goldgroup intends to use part of the new capital to advance the project toward a possible restart of mining operations. The company believes additional investment and development work could help unlock further value from the asset.

Goldgroup also plans to continue exploration and resource growth activities around the Don David Gold Mine in Oaxaca. The company is seeking to build on its existing operations while identifying opportunities to increase the amount of recoverable mineral resources.

Another part of the strategy involves the Back Forty Gold Project in Michigan. Funding would support development activities at the project, while the company also plans to continue exploration and development work at its Cerro Prieto operation in Sonora.

Beyond exploration and mine development, some of the funding is expected to strengthen Goldgroup’s working capital and balance sheet. The company also intends to evaluate potential acquisitions and other strategic opportunities that could expand its portfolio.

Goldgroup currently holds four wholly owned assets across Mexico and the United States. Its portfolio includes operating gold mines as well as development and exploration projects. This combination gives the company exposure to both current production and potential future growth.

The proposed financing is also notable because of the level of investor support secured before closing. Early commitments can provide greater certainty around a fundraising process, although the transaction still requires regulatory approvals and other customary closing conditions.

Goldgroup expects the financing to close around September 30, 2026, subject to the required approvals, including conditional approval from the TSX Venture Exchange and approval from NYSE American.

The announcement comes at a time when mining companies are increasingly looking for capital to expand mineral resources and develop new production opportunities. Exploration requires significant funding, and access to investment can determine how quickly companies move promising projects toward development.

For Goldgroup, the proposed US$75 million financing could mark an important step in its growth strategy. With capital directed toward exploration, development, operations and potential acquisitions, the company is positioning itself to build a broader precious metals business.
